Rashi is a Partner in the Bengaluru office of INDUSLAW.
Rashi specializes in Merger and Acquisitions, Private Equity and Venture Capital Investments.
She
has advised on structuring and regulatory aspects of cross border and
domestic transactions across the industry in both startups as well as
brick and mortar
businesses including promoters, family offices, venture capital and
private equity funds.
Rashi’s
industry-wide experience is as varied as her clientele - including in
healthcare, education, ed-tech, real estate, e-commerce, logistics,
manufacturing
and information technology. This diversity in experience helps her both
be focused on transactional details and have a more intuitive
understanding of the sectoral context of a particular transaction.
In
addition to leading transactional work, Rashi regularly advises clients
on general corporate and retainer matters, including entry and
expansion strategies
in India, investment structuring and commercial contracts. She also
works closely with growth-stage companies on cap table restructuring,
aligning founder and investor interests, and addressing governance
matters including ESOP structuring and shareholder
disputes.
Her
transactional experience includes share acquisitions, business
acquisitions, early and late-stage investments, structured exits, joint
ventures and other commercial
arrangements. Her marquee transactions include being part of the core
team involved in India’s first REIT listing and advising a client in one
of the few SPAC deals of its size in India.
Most
recently, The Legal 500 Asia-Pacific 2025 has recognised Rashi as a
‘Recommended Lawyer’ for Private Equity and Investment Funds. India
Business Law Journal
has recognised her as one of ‘India's Future Legal Leaders’ for 2025.
She has also been recognised as a ‘Rising Star’ in the Corporate and
M&A practice by Asian Legal Business India Rising Star 2023 edition.
